Acceptance and authority
These Terms of Service ("Terms") are an agreement between the operator of ASTRAIOS Tracking ("ASTRAIOS," "we," "us," or "our") and the person or organization that accesses or uses our websites, company workspaces, applications, APIs, support tools, and related services (collectively, the "Service").
By creating an account, accepting an invitation, purchasing a subscription, or using the Service, you agree to these Terms and our Privacy Policy. If you use the Service for a company or other organization (the "Customer"), you represent that you are authorized to bind that Customer. You must be at least 18 years old and legally able to enter this agreement, unless your use is authorized and supervised by the Customer and a parent or guardian where required.
An order form, subscription package, written service agreement, or data-processing agreement accepted by both parties may add to these Terms. If there is a direct conflict, the more specific written agreement controls for that subject.
The Service
ASTRAIOS provides company-scoped aviation tracking and operations tools. Features may include ADS-B aircraft tracking, predictive map movement, flight history, route and 3D replay, weather and airport information, aircraft profiles, dispatch, maintenance discrepancies, cadet checkouts, GroupMe messaging, reports, diagnostics, audit records, restore points, and administrative controls.
Feature availability depends on the Customer's package, settings, permissions, configured providers, subscription status, location, and technical requirements. Optional modules and third-party integrations may be disabled. We may improve, replace, or discontinue features, but will use commercially reasonable efforts to avoid materially reducing paid core functionality during a current subscription term without notice.
Aviation and operational safety
ASTRAIOS is a supplemental situational-awareness and business-operations tool. It is not an approved source for navigation, air traffic separation, dispatch release, weather avoidance, aircraft airworthiness, or regulatory recordkeeping.
- ADS-B and provider data may be delayed, incomplete, duplicated, inaccurate, unavailable, or based on predicted movement. An aircraft may not appear even when it is operating.
- Weather radar, METARs, TAFs, alerts, and hazard products may be delayed or incomplete and must not be used for tactical maneuvering or as a substitute for an official weather briefing.
- Maps, airport markers, route corridors, terrain, imagery, 3D views, replays, inferred flight phases, landing detection, and airport matching are approximate and are not certified navigation products.
- Maintenance, dispatch, Hobbs, checkout, utilization, alert, and flight records do not replace legally required aircraft logs, inspections, releases, company manuals, or independent operational controls.
- GroupMe messages and automated alerts may be delayed, fail, or go to an incorrectly configured channel. Do not rely on ASTRAIOS as the only method for emergency communication.
Pilots, dispatchers, maintenance personnel, instructors, Customers, and aircraft operators remain solely responsible for flight safety, regulatory compliance, official records, airworthiness decisions, operational control, and verifying information through approved sources. Never delay contacting air traffic control, emergency services, or other appropriate authorities because of information shown or not shown in ASTRAIOS.
Accounts and company administration
You must provide accurate information, keep credentials confidential, use multi-factor authentication when required, and promptly report suspected compromise. Accounts are personal and may not be shared. You are responsible for activity performed through your account unless caused by an ASTRAIOS security failure.
Customer owners and administrators control workspace membership, roles, feature settings, integrations, and operational records. The Customer is responsible for assigning least-privilege access, removing former users, safeguarding GroupMe bot identifiers and callback URLs, and ensuring that its users comply with these Terms. ASTRAIOS may rely on instructions from an authenticated Customer owner or authorized administrator.
Certain protections prevent self-lockout, removal of the last company owner, or removal of the last platform owner. These controls do not relieve the Customer of maintaining current administrative contacts.
Customer Data and responsibilities
As between the parties, the Customer retains its rights in information submitted to its workspace ("Customer Data"). The Customer grants ASTRAIOS a non-exclusive, worldwide, limited right to host, copy, transmit, display, transform, back up, and otherwise process Customer Data only as needed to provide, secure, support, and improve the Service, fulfill the Customer's instructions, and comply with law.
The Customer represents and warrants that:
- it has the rights, notices, permissions, and lawful basis needed to submit and process Customer Data;
- its use of employee, cadet, aircraft, location, photo, GroupMe, maintenance, and flight information complies with applicable law and its own policies;
- Customer Data and configuration are accurate enough for the Customer's intended business use;
- it will not submit malicious files, unlawful surveillance data, or specially regulated information that ASTRAIOS has not agreed to support; and
- it will maintain authoritative operational and regulatory records outside ASTRAIOS where required.
Customers should review and export information they need before deleting records or ending the Service. Company restore points are limited recovery tools, not guaranteed archival backups.
Third-party data and integrations
The Service may interact with Stripe, GroupMe, ADS-B providers, aircraft registries, airport and waypoint datasets, weather services, mapping and terrain sources, email providers, LiveATC links, and other third-party services. Those services are operated independently and may change, restrict, delay, or discontinue access.
The Customer authorizes ASTRAIOS to exchange the information reasonably necessary for each integration it enables. Third-party terms, privacy policies, licenses, attribution requirements, quotas, and acceptable-use rules apply. ASTRAIOS does not control and is not responsible for third-party content, availability, accuracy, or conduct. External links do not imply endorsement.
Customers may not extract, redistribute, resell, reverse engineer, or use provider data beyond the rights permitted by ASTRAIOS and the applicable provider.
Acceptable use
You may not, and may not allow another person to:
- use the Service unlawfully, deceptively, to harass others, or to violate privacy, intellectual-property, export, communications, or aviation rules;
- use ASTRAIOS for covert personal surveillance, stalking, or tracking aircraft outside a legitimate authorized business purpose;
- rely on the Service as a certified safety system or use it to direct tactical flight maneuvers;
- gain unauthorized access to another account, company, support session, system, secret, or provider;
- probe, scan, attack, disrupt, overload, scrape, or circumvent security, tenant boundaries, rate limits, feature controls, or subscription enforcement;
- upload malware, destructive code, deceptive content, or data you do not have the right to use;
- impersonate another person, misrepresent authority, falsify operational records, or interfere with audits;
- copy, modify, lease, sell, sublicense, reverse engineer, or create a competing service from ASTRAIOS except where law expressly prohibits this restriction; or
- use GroupMe or other messaging features to send spam, unlawful content, or emergency messages without appropriate independent procedures.
We may investigate suspected violations and limit or suspend affected access when reasonably necessary to protect Customers, providers, the Service, or the public.
Subscriptions, billing, and taxes
Prices, billing intervals, introductory arrangements, included features, and renewal terms are shown at checkout or in an applicable order. Unless the order states otherwise, subscriptions renew automatically for successive periods until canceled. Stripe processes payments and may require its own terms.
The Customer authorizes charges for the selected package and is responsible for applicable taxes, payment method accuracy, and billing contacts. Except where law or a written agreement requires otherwise, fees are non-refundable and unused time is not credited. Canceling ordinarily stops renewal at the end of the paid period; it does not erase Customer Data immediately.
We may change pricing or packages for a future renewal period by providing reasonable notice. Failed, past-due, reversed, or disputed payments may result in a grace period, restricted features, suspension, or termination. Authorized ASTRAIOS support may access a suspended workspace for billing, recovery, or support purposes.
Support access and audit records
Specially authorized ASTRAIOS personnel may enter a Customer workspace without ordinary Customer membership only through a company-scoped support session for onboarding, troubleshooting, configuration, billing support, security investigation, or another legitimate support purpose.
Support mode identifies the selected company, expires after inactivity, requires a recorded reason, and logs actions. Customer visibility into support history depends on company settings and the type of session. Platform security and audit records may be retained and may not be editable through the standard interface.
Availability, changes, and support
We aim to operate a reliable Service but do not guarantee uninterrupted or error-free access. Maintenance, provider outages, internet conditions, device limits, security incidents, force majeure events, or other circumstances may affect availability. Unless a separate agreement states otherwise, no service-level agreement applies.
Support scope and response time depend on the package or written agreement. We may deploy fixes, security controls, data-source changes, or emergency maintenance without advance notice when reasonably necessary. Preview, beta, diagnostic, or developer features may be changed or withdrawn at any time and are provided for evaluation.
ASTRAIOS ownership and feedback
ASTRAIOS and its licensors own the Service, software, design, documentation, branding, models, workflows, and other materials, excluding Customer Data and third-party content. Subject to these Terms and payment of applicable fees, ASTRAIOS grants the Customer a limited, non-exclusive, non-transferable, revocable right for its authorized users to use the Service for the Customer's internal operations during the subscription term.
If you provide ideas or feedback, you grant ASTRAIOS a perpetual, worldwide, royalty-free right to use them without restriction or compensation, provided we do not publicly identify you as the source without permission.
Confidentiality and security
Each party may receive non-public information that a reasonable person would understand to be confidential. The receiving party will use it only to perform under this agreement and will protect it using reasonable care. This obligation does not apply to information that is public without breach, already lawfully known, received lawfully without restriction, or independently developed.
A party may disclose confidential information when legally required after giving notice when permitted. Customers remain responsible for endpoint security, user behavior, permissions, and secrets under their control. Security practices are further described in the Privacy Policy and production documentation made available for the Service.
Suspension and termination
Either party may terminate as permitted by the applicable subscription or written agreement. We may suspend or terminate access for material breach, security risk, unlawful use, provider or legal requirements, nonpayment, or conduct that threatens the Service or others. When practical, we will give notice and an opportunity to cure.
After termination, access ends and Customer Data may be deleted after a reasonable wind-down and backup period, subject to legal, security, audit, billing, and dispute-retention needs. The Customer is responsible for obtaining needed copies before access ends. Terms that by their nature should survive will survive, including payment, ownership, confidentiality, disclaimers, liability limits, indemnity, and dispute provisions.
Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE AND ALL THIRD-PARTY DATA ARE PROVIDED "AS IS" AND "AS AVAILABLE." ASTRAIOS DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
ASTRAIOS DOES NOT WARRANT THAT TRACKING, WEATHER, ALERTS, FLIGHT DETECTION, REPLAYS, TERRAIN, REGISTRY DATA, MAINTENANCE INFORMATION, MESSAGES, OR OTHER OUTPUT WILL BE COMPLETE, CURRENT, ERROR-FREE, OR SUITABLE FOR A SAFETY-CRITICAL OR REGULATORY PURPOSE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN DISCLAIMERS, SO SOME OF THESE TERMS MAY NOT APPLY TO YOU.
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER ASTRAIOS NOR ITS LICENSORS OR PROVIDERS WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, REVENUE, BUSINESS, DATA, GOODWILL, USE, OR OPERATIONAL OPPORTUNITY, EVEN IF ADVISED THAT SUCH DAMAGES ARE POSSIBLE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ASTRAIOS'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE AMOUNTS THE CUSTOMER PAID TO ASTRAIOS FOR THE SERVICE DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. These limits do not apply where liability cannot lawfully be limited.
Indemnification
To the extent permitted by law, the Customer will defend, indemnify, and hold harmless ASTRAIOS and its personnel from third-party claims, damages, losses, and reasonable costs arising from Customer Data, the Customer's or its users' unlawful or unsafe use of the Service, violation of these Terms, infringement of another person's rights, or failure to obtain required notices and permissions. ASTRAIOS will provide reasonable notice and cooperation, and the Customer may control the defense so long as no settlement admits fault or imposes obligations on ASTRAIOS without written consent.
Governing law and disputes
A governing-law, venue, or dispute provision in an applicable order form or written subscription agreement controls. If no such provision exists, these Terms are governed by applicable United States federal law and the laws of the state where ASTRAIOS maintains its principal business office, without regard to conflict-of-law rules. The parties consent to the state and federal courts serving that location, unless applicable law requires another forum.
Before filing a claim, each party agrees to give written notice describing the dispute and to allow at least 30 days for good-faith informal resolution, except when urgent injunctive relief is reasonably necessary.
General terms
Neither party is liable for delay caused by events beyond its reasonable control. The Customer may not assign these Terms without ASTRAIOS's consent, except with a merger or sale of substantially all relevant assets. ASTRAIOS may assign these Terms in connection with a reorganization, financing, merger, acquisition, or sale.
These Terms and incorporated written agreements are the entire agreement about the Service and replace earlier discussions on that subject. Failure to enforce a provision is not a waiver. If a provision is unenforceable, it will be limited to the minimum extent necessary and the rest remains effective. Headings are for convenience. The parties are independent contractors, and no third party is a beneficiary.
Changes to these Terms
We may update these Terms as the Service or law changes. We will post the revised Terms with a new effective date and provide additional notice for material changes when required. Changes ordinarily apply at the next renewal or 30 days after notice, whichever is later, unless an immediate change is required for law, security, abuse prevention, or a newly released optional feature. Continued use after the applicable date means acceptance.
